These Terms of Use (“Terms”) are a legally binding agreement between you, whether personally or on behalf of an entity (“you,” “your,” or “User”), and With Stephanie Cleary LLC, doing business as Vibe Code Curious (“Vibe Code Curious,” “Company,” “we,” “us,” or “our”), concerning your access to and use of vibecodecurious.com and any other websites, digital products, educational materials, courses, guides, workshops, live sessions, resources, or services that link to these Terms (collectively, the “Services”).
Vibe Code Curious provides educational content, digital products, and live learning and consulting experiences related to building software, tools, websites, automations, and other technology using artificial intelligence and related tools. The Services may include guides, courses, tutorials, templates, examples, demonstrations, workshops, group sessions, individual sessions, and other educational or consulting materials and experiences.
By accessing, purchasing, or using the Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you may not access or use the Services.
We may update these Terms from time to time. When we make material changes, we will make reasonable efforts to notify you, such as by updating the “Last updated” date, posting a notice on our website, or sending an email when appropriate. Your continued use of the Services after updated Terms become effective constitutes your acceptance of the updated Terms.
If you are accessing, purchasing, or using the Services on behalf of a business, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you individually and that entity.
1. Eligibility
The Services are intended for users who are at least 18 years old. By using or purchasing the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
The Services are operated from the United States and are intended primarily for business owners, freelancers, consultants, creators, and other adults interested in using technology in connection with their work or business. If you access, purchase, or use the Services from outside the United States, you are responsible for complying with any laws applicable to you.
2. Digital Products and Educational Content
Vibe Code Curious may offer digital products and educational materials including guides, courses, tutorials, worksheets, templates, examples, demonstrations, recorded content, downloadable materials, and similar resources (“Digital Products”).
Unless we expressly state otherwise, purchasing a Digital Product gives you a limited license to access and use that Digital Product for your own personal or internal business purposes. Purchasing a Digital Product does not transfer ownership of the Digital Product or its underlying intellectual property to you.
Digital Products are provided for educational and informational purposes. They may demonstrate particular methods, tools, technologies, workflows, software platforms, artificial intelligence tools, or approaches to building things. These examples are intended to help you understand concepts and possibilities and are not a guarantee that any particular approach, tool, code, configuration, or result will be appropriate for your circumstances.
We may update, revise, expand, replace, or discontinue Digital Products from time to time. Unless otherwise stated at the time of purchase, purchasing a Digital Product does not guarantee that it will receive future updates, additions, or ongoing support.
3. Live Sessions, Workshops, and Consulting Services
Vibe Code Curious may offer live educational or consulting services, including workshops, group sessions, build clinics, office hours, individual sessions, or similar experiences (“Live Services”).
The specific scope, format, duration, scheduling terms, and included services for a Live Service will be described on the applicable sales page, registration page, checkout page, confirmation email, or other materials provided at the time of purchase.
Live Services may include discussion of your business, ideas, technology, software, workflows, or projects and may include suggestions, demonstrations, troubleshooting, brainstorming, or other educational or consulting guidance.
You remain responsible for deciding whether and how to act on any suggestion, recommendation, example, code, workflow, tool, or other information discussed during a Live Service. Unless we expressly agree otherwise in writing, Vibe Code Curious is not responsible for implementing, maintaining, operating, testing, securing, or monitoring anything you build or change as a result of a Live Service.
Scheduling, cancellation, rescheduling, attendance, recording, and refund terms applicable to Live Services may be described separately on the applicable sales or booking page and are incorporated into these Terms by reference.
4. License and Permitted Use
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services you have purchased or otherwise been given access to for your own personal or internal business purposes.
Unless we expressly give you permission otherwise, you may not:

Copy, reproduce, republish, distribute, sell, sublicense, or commercially exploit our Digital Products or educational materials;

Share purchased materials, course access, login credentials, recordings, downloads, or other restricted content with people who have not purchased or otherwise been granted access;

Present our materials as your own work;

Remove copyright, trademark, attribution, or other proprietary notices from our materials;

Use our materials to create or sell a substantially similar course, guide, training program, template library, or other educational product; or
-
Make our paid materials publicly available, including by uploading them to shared drives, membership libraries, websites, AI knowledge bases, file-sharing services, or similar systems accessible to people who have not purchased them.
You ARE encouraged to use the concepts, skills, techniques, and general knowledge you learn through the Services in your own business and projects. Nothing in these Terms is intended to prevent you from actually using what you learn. Just, you know, don’t present our work as your own.
Unless a particular product states otherwise, any code snippets, prompts, sample configurations, starter files, or similar implementation materials that we specifically provide for you to adapt or use in your own projects may be modified and used for your own personal or internal business purposes.
5. Intellectual Property Rights
The Services, including our website, Digital Products, courses, guides, written materials, videos, recordings, graphics, examples, demonstrations, templates, branding, logos, trademarks, website design, and other content created or provided by Vibe Code Curious, are owned by or licensed to Vibe Code Curious and are protected by applicable intellectual property laws.
You may not use the Vibe Code Curious name, logo, branding, trademarks, or other proprietary materials without our prior written permission.
Nothing in these Terms transfers ownership of Vibe Code Curious’s intellectual property to you.
Third-party software, platforms, tools, code, trademarks, content, or other materials discussed or demonstrated through the Services remain the property of their respective owners and may be subject to separate licenses or terms.
6. No Guarantee of Results
Vibe Code Curious provides education, information, ideas, examples, and guidance intended to help you understand and explore ways to build and use technology. We do not guarantee any particular result from your use of the Services.
Your results may depend on many factors outside our control, including your ideas, skills, experience, effort, decisions, business circumstances, technical environment, third-party tools, AI-generated outputs, market conditions, and how you implement or use what you learn.
We do not guarantee that using the Services will cause you to successfully build or launch a particular project, save a particular amount of time or money, increase your revenue or profit, replace any particular software subscription, attract customers, improve your business performance, or achieve any other specific business or technical result.
Examples, case studies, demonstrations, testimonials, or descriptions of what we or others have built or accomplished are illustrative only and should not be understood as a promise that you will achieve the same or similar results.
7. Educational Information and Professional Advice
The Services may include general information and guidance about business, technology, software, workflows, artificial intelligence, and related topics.
Vibe Code Curious does not provide legal, tax, accounting, financial, investment, medical, cybersecurity, data-privacy, regulatory-compliance, or other licensed or regulated professional advice through the Services.
Live Services may include general business or technical consulting based on the information you provide. That guidance does not replace advice from an attorney, accountant, tax professional, cybersecurity professional, privacy professional, financial advisor, or other qualified professional when your situation requires that expertise.
You are responsible for determining when professional advice is appropriate for your particular project, business, industry, jurisdiction, customers, data, or circumstances.
8. Artificial Intelligence, Code, Software, and Technical Information
The Services may teach, discuss, demonstrate, recommend, or make use of artificial intelligence tools, coding tools, software platforms, hosting services, APIs, databases, automation services, and other technology.
Artificial intelligence and software tools can produce incorrect, incomplete, outdated, insecure, or unexpected results. Code, prompts, configurations, workflows, or other technical materials shown or provided through the Services may require modification, testing, debugging, security review, or other work before they are appropriate for your use.
You are responsible for reviewing, testing, and evaluating anything you build or implement using information from the Services before relying on it in your business or making it available to customers, clients, users, or the public.
You are also responsible for determining whether what you build complies with applicable laws, regulations, contracts, licenses, third-party terms, privacy requirements, accessibility requirements, security requirements, and other obligations applicable to you.
Unless we expressly agree otherwise in writing, Vibe Code Curious does not guarantee that any code, prompt, software, configuration, architecture, workflow, example, recommendation, or other technical material provided or discussed through the Services will be:

Error-free or bug-free;

Secure or appropriate for processing sensitive information;

Suitable for production use;
-
Compatible with your existing technology or third-party services;

Available or functional indefinitely;

Legally or regulatorily compliant for your particular use;

Appropriate for your industry, customers, users, or circumstances; or
-
Free from intellectual property, licensing, accessibility, privacy, or other legal concerns.
Technology and third-party services change frequently. Information that was accurate when a Digital Product was created or a Live Service occurred may later become outdated because of changes to software, AI models, APIs, pricing, features, policies, terms, laws, or other circumstances.
9. Purchases and Payment
Some Services are available for purchase. Prices, payment terms, included features or services, and any other purchase-specific terms will be described on the applicable sales page, checkout page, booking page, order form, or other materials provided at the time of purchase.
You agree to provide current, complete, and accurate purchase and payment information and to pay all amounts presented to you at checkout.
Vibe Code Curious currently uses different payment arrangements for Digital Products and Live Services, as described below.
Digital Products — Paddle
Digital Products may be sold through Paddle.com (“Paddle”), which acts as the authorized reseller and Merchant of Record for those transactions.
When you purchase a Digital Product through Paddle, the purchase transaction is between you and Paddle and is also subject to Paddle’s applicable buyer terms, refund policies, and privacy practices. Vibe Code Curious remains responsible for providing and licensing the Digital Product to you in accordance with these Terms.
Paddle processes payment for these transactions and is responsible for calculating, collecting, and remitting applicable sales taxes, VAT, GST, and similar transaction taxes as required by law.
Live Services — Stripe
Live Services, including workshops, Build Clinics, individual sessions, group sessions, and similar human-delivered services, may be sold directly by Vibe Code Curious. Payments for those Services may be processed by Stripe or another third-party payment processor.
For these transactions, Vibe Code Curious is the seller of the Live Service and the payment processor facilitates payment on our behalf.
You may be required to provide information reasonably necessary to process the transaction or determine its appropriate tax treatment, including your billing address, country, business name, or business tax identification number.
Certain Live Services may be offered only to purchasers acquiring the Service for business use. Where this requirement applies, you may be asked to confirm that you are purchasing the Service in connection with your trade, business, profession, or other commercial activity. We may decline or cancel a transaction if you do not meet an eligibility requirement stated for that Service.
Applicable taxes, if any, may be added to the purchase price as required by law.
10. Digital Product Delivery and Access
Digital Products may be delivered through download, email, a hosted website or learning platform, an account or access link, or another delivery method described at the time of purchase.
You are responsible for providing a valid email address and for downloading, accessing, or saving materials made available to you where appropriate.
Unless otherwise stated at the time of purchase, your purchase does not guarantee that a particular hosting platform, download link, website, or delivery method will remain available indefinitely. If we discontinue a hosted delivery method for a Digital Product that was represented as including ongoing access, we will make reasonable efforts to provide another reasonable method of accessing the purchased material where practicable.
Access to a Digital Product is personal to you and remains subject to the license and permitted-use restrictions in these Terms.
11. Refunds, Cancellations, and Rescheduling
Refunds, cancellations, and rescheduling for Digital Products and Live Services are governed by our Refund Policy, which is incorporated into these Terms by reference.
12. Third-Party Services and Tools
The Services may reference, demonstrate, recommend, integrate with, link to, or rely on third-party products and services, including artificial intelligence tools, software platforms, hosting providers, databases, payment processors, scheduling tools, video-conferencing services, APIs, and other technology.
Examples may include services such as Paddle, Stripe, Zoom, GitHub, hosting providers, artificial intelligence providers, or other tools used in connection with the Services.
Third-party products and services are not owned or controlled by Vibe Code Curious. Your use of them may be subject to separate terms, privacy policies, licenses, fees, usage limits, account requirements, and other conditions established by the applicable third party.
We do not guarantee that any third-party product or service will remain available, maintain its current features or pricing, work as demonstrated, remain compatible with your project, or continue to permit a particular use.
You are responsible for reviewing and complying with the terms and policies that apply to third-party products or services you choose to use.
Vibe Code Curious is not responsible for the acts, omissions, availability, security, privacy practices, policies, content, pricing, performance, or changes of third-party providers, except to the extent that responsibility cannot legally be excluded.
13. Acceptable Use
You may use the Services only for lawful purposes and in accordance with these Terms.
You may not use the Services to:
- Violate any applicable law, regulation, contract, license, or third-party right;
- Infringe or misappropriate another person’s intellectual property, privacy, publicity, confidentiality, or other rights;
- Develop, facilitate, or support malware, phishing, fraud, unauthorized surveillance, credential theft, unauthorized access to systems or accounts, or other malicious or unlawful activity;
- Attempt to gain unauthorized access to Vibe Code Curious’s websites, systems, accounts, restricted materials, or other users’ information;
- Interfere with or disrupt the operation or security of the Services;
- Circumvent access restrictions, payment requirements, usage limits, or other technical or contractual restrictions;
- Use the Services to harass, threaten, abuse, discriminate against, or harm another person;
- Upload, submit, transmit, or provide content that you do not have the right to use or disclose; or
- Use the Services in any manner that could reasonably expose Vibe Code Curious, another participant, or a third party to legal liability, security risk, or harm.
We may suspend or terminate access to the Services if we reasonably believe you have violated this section or otherwise used the Services in a manner that creates a material legal, security, operational, or reputational risk.
14. Live Services, Confidentiality, and Other Participants
Some Live Services may involve other participants. Information you choose to share during a group workshop, Build Clinic, office hour, community session, or similar Live Service may therefore be heard, viewed, or otherwise received by other participants.
You are responsible for deciding what information you are comfortable sharing in a group setting. You should not share passwords, authentication credentials, financial account information, private customer or client information, health information, trade secrets, confidential business information belonging to another person, or other sensitive information unless you have determined that doing so is appropriate and permitted.
We may ask participants to respect the privacy and confidentiality of information shared during Live Services. However, unless we expressly agree otherwise in writing, Vibe Code Curious cannot guarantee that another participant will keep information confidential or control what another participant does with information they hear or see.
You may not record, reproduce, distribute, publish, livestream, transcribe for redistribution, or otherwise make available a Live Service or another participant’s contributions without our prior permission and, where applicable, the permission of the other people involved.
15. Recordings of Live Services
Certain Live Services may be recorded by Vibe Code Curious for purposes such as providing replays, creating educational materials, maintaining internal records, or improving the Services.
If a Live Service will be recorded, we will make reasonable efforts to disclose that fact before or at the beginning of the session.
For general participation in a recorded group session, if you do not wish to appear or be heard in the recording, you may participate without using your camera or microphone and may use available text-based participation options, such as chat, where appropriate.
Some Live Services may include a featured participant, “hot seat,” troubleshooting segment, screen share, or other portion in which a participant is the primary focus of the discussion. Because meaningful participation in those portions may reasonably require speaking, appearing on camera, or sharing information on screen, we will not require a participant to have their featured portion included in a recording solely as a condition of participating. Where practicable, a participant may request before or during the session that their featured portion not be recorded or not be included in any replay made available to others.
Your registration for or participation in a Live Service does not automatically give Vibe Code Curious permission to use your name, image, voice, likeness, business information, or identifiable contributions for public marketing or promotional purposes. Any such use requiring additional permission will be handled separately.
Where a recording is made available to participants, access to that recording is subject to these Terms and any additional restrictions stated for the applicable Live Service.
16. Privacy
Our collection, use, storage, and disclosure of personal information in connection with the Services is described in our Privacy Policy, which is incorporated into these Terms by reference.
By using the Services, you acknowledge that information may be processed by third-party service providers that we use to operate the Services, process purchases, deliver Digital Products, host Live Services, send communications, schedule sessions, operate our website, or provide other business functions.
You are responsible for reviewing the Privacy Policy before providing personal information through the Services.
17. Changes to and Availability of the Services
We may modify, update, replace, add to, discontinue, or change portions of the Services from time to time.
This may include changes resulting from updates to third-party software, artificial intelligence tools, hosting services, APIs, platforms, laws, policies, pricing, technology, or other circumstances outside our control.
We do not guarantee that the website, hosted materials, booking systems, Live Services, or other parts of the Services will be available without interruption or error at all times.
Where you have purchased a specific Digital Product or Live Service, any changes remain subject to the purchase terms, access rights, and other commitments that applied to that purchase.
18. Copyright Complaints
We respect the intellectual property rights of others and expect users of the Services to do the same.
If you believe that material made available through the Services infringes your copyright, please contact us at the email address listed in the Contact section below and provide enough information for us to identify the material and understand the basis of your claim.
We may remove or restrict access to material that we reasonably believe infringes intellectual property rights.
19. Term and Termination
These Terms remain in effect while you access or use the Services.
We may suspend, restrict, or terminate your access to some or all of the Services if you materially violate these Terms, fail to pay amounts due, misuse the Services, infringe our or another person’s rights, engage in unlawful or harmful conduct, or create a material legal, security, operational, or reputational risk.
Termination or suspension does not eliminate payment obligations or other responsibilities that arose before termination.
Provisions that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, license restrictions, disclaimers, limitation of liability, indemnification, dispute resolution, and other accrued rights or obligations.
Where you purchased a Digital Product or Live Service before termination, any continuing access rights remain subject to the applicable purchase terms, license restrictions, and reason for termination.
20. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
VIBE CODE CURIOUS MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY, OR THAT THE SERVICES WILL MEET YOUR PARTICULAR NEEDS OR EXPECTATIONS.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE;
- INFORMATION, EXAMPLES, CODE, PROMPTS, WORKFLOWS, RECOMMENDATIONS, OR OTHER MATERIALS WILL BE ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR YOUR PARTICULAR USE;
- THIRD-PARTY SOFTWARE, AI TOOLS, PLATFORMS, APIs, OR OTHER TECHNOLOGY WILL PERFORM AS EXPECTED OR REMAIN AVAILABLE;
- ANYTHING YOU BUILD OR IMPLEMENT USING THE SERVICES WILL FUNCTION CORRECTLY, BE SECURE, COMPLY WITH LAW, OR ACHIEVE A PARTICULAR RESULT; OR
- ERRORS OR DEFECTS WILL BE CORRECTED.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIBE CODE CURIOUS AND WITH STEPHANIE CLEARY LLC, AND THEIR OWNERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND REPRESENTATIVES, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, DATA, GOODWILL, OR OTHER INTANGIBLE LOSS ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO VIBE CODE CURIOUS OR THROUGH AN AUTHORIZED RESELLER FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR
- ONE HUNDRED U.S. DOLLARS ($100).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
22. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless With Stephanie Cleary LLC, doing business as Vibe Code Curious, and its owners, employees, contractors, agents, affiliates, and representatives from and against claims, damages, losses, liabilities, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
- Your violation of these Terms;
- Your unlawful or unauthorized use of the Services;
- Your infringement or violation of another person’s intellectual property, privacy, confidentiality, contractual, or other rights;
- Content, information, data, files, code, materials, or other information you provide, submit, display, or use in connection with the Services;
- Anything you build, publish, deploy, sell, distribute, or otherwise use based in whole or in part on information or guidance obtained through the Services; or
- Your violation of applicable law or third-party terms.
We reserve the right, at our expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. If we do so, you agree to reasonably cooperate with our defense of the claim.
23. Force Majeure
We will not be liable for delay, interruption, cancellation, or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, flood, epidemic or pandemic, war, terrorism, civil disturbance, labor disputes, power or internet outages, failures of third-party service providers, government actions, changes in law, illness or emergency, or other events beyond our reasonable control.
24. Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of Connecticut, without regard to conflict-of-law principles, except where applicable law requires otherwise.
25. Informal Dispute Resolution
Before initiating formal legal proceedings, you and Vibe Code Curious agree to make a reasonable good-faith effort to resolve any dispute informally.
The party raising the dispute must provide written notice describing the nature of the dispute, relevant facts, and the requested resolution.
The parties will attempt in good faith to resolve the dispute for at least thirty (30) days after receipt of the notice before initiating arbitration or other formal proceedings, unless immediate relief is reasonably necessary.
26. Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for disputes that qualify for small claims court or claims seeking injunctive or other equitable relief relating to intellectual property, unauthorized access, misuse of the Services, or similar matters, any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved by binding individual arbitration.
Arbitration will be administered by the American Arbitration Association (“AAA”) under the rules applicable to the dispute, as modified by these Terms. The arbitration may be conducted remotely, by written submissions, by telephone or video conference, or in person as determined under the applicable rules.
YOU AND VIBE CODE CURIOUS AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual party’s claim.
If any portion of this arbitration or class-action-waiver provision is found unenforceable, the remaining portions will remain in effect to the maximum extent permitted by law.
Nothing in this section prevents either party from bringing an individual claim in a court of competent jurisdiction where applicable law prohibits mandatory arbitration of that claim.
27. California Users
If you are a California resident, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs regarding complaints about the Services.
Nothing in these Terms limits any rights or remedies available to you under applicable California law that cannot legally be waived.
28. Miscellaneous
